Porchez Typofonderie end-user standard licence agreement
The following is hereby agreed to by Porchez Typofonderie and the end-user: This contract agreement governs the use of the typeface package and the fonts that compose it, as described on the current website, distributor of Porchez Typofonderie fonts packages.
§1 Definitions. A font is a complete set of characters, following the standard set of the typographical characters used in Western countries, used by Apple Macintosh and Microsoft Windows.
Font format(s): The fonts are in PostScript Type 1 format or OpenType format for the indicated platform, and consists of digitally-coded metric and kerning information, digital descriptions of all the characters outlines, and, in the caseevent of PostScript Type 1 format used by Apple Macintosh, digital data defining the bitmap characters intended for the screen display.
§2 Subject. This licence contract agreement governs a end user licence of non-exclusive rights intended for the use of the fonts/font packs chosen by the end user on the current website, distributor of Porchez Typofonderie fonts packages.
§3 Duration. This licence covers an indefinite period, and begins on the date on which the present licence contract agreement has been accepted in the purchase process.
§4 Terms of agreement.
§4.1 Ownership of font(s). The digital descriptions and/or digital font(s) defining the characters and/or font(s) described on the current website remain the entire property of Porchez Typofonderie. In no caseevent will the end user have the right to transfer to anyone the characters and/or fonts described on the current website, distributor of Porchez Typofonderie fonts packages.
The font(s) and/or typeface pack(s) and their components are protected by intellectual property and copyright laws and remain the property of Porchez Typofonderie.
The fonts must not be disassembled or altered in any manner whatsoever. The creation of derivative fonts is strictly prohibited. Alteration includes manipulation of: the digital font data in order to mix it with another; its composition; its forms, outlines, or its characters; the position of the characters (in all caseevents, including spacing and kerning which leave the original font intact); digital font data for exporting to another font format; digital font data controlling the quality of display and printing (hinting). To make proceed to or to have made proceeded to, or to give permission to make proceed to a derivative of the typeface package or its components or a font which resembles the typeface package or its components under any form is strictly prohibited, and constitute counterfeiting.
The following text applies to all the components of the typeface package: (c) TM 1990-2007, Created by Jean Francois Porchez. All rights reserved. Distribued exclusively by Porchez Typofonderie. Names are trademarks in some cases.
§4.2 Workstation(s), output unit(s) and places of use. This basic licence permits the use the fonts for a number of workstations and output devices defines, at a single location. This basic licence must be upgraded if the situation of the user change. Font packs are defined on the current website, distributor of Porchez Typofonderie fonts packages.
§4.3 Finished medium support. This licence applies when the end users finished work is/are in the paper medium, non-digital support (except as described below in §4.4), or bitmap images, and does not apply to any other support.
§4.4 Provision for use in digital media. This licence equally applies to the numerically coded metric information and outlines of the fonts, distributed under the condition that the end user guarantees the non-extraction of the fonts ("print and preview only" settings in pdf format) by a third party who could use the fonts for others application other than those for which they are licensed.
This applies in particular to the multimedia presentations, the use of the fonts and characters for the internet or similar networks and the distribution of documents saved as pdf (Portable document format) and similar formats.
All use by the end user of digital media that allows the extraction of fonts or font components, such as defined above, by a third party holds the end user liable for use(s) not in conformity with the provisions of the present contract agreement.
§4.5 Personal contract agreement and strictly personal use of the pack(s). The end user can use the font, as described on the current website, distributor of Porchez Typofonderie fonts packages, only on workstations (computers) and output devices (printers) which belong to the end user.
Except of the copy intended for final output at a service bureau, the end user cannot provide copies of the fonts to be used by a third party even if the third party uses them for the end user or in the name of the end user.
§4.6 Copying font(s) and/or font pack(s) by end user. The end user does not have the right to copy the fonts, except for personal use (and output at a service bureau) to protect the original medium on which the fonts are stored (backup copies).
The end user will make sure that no third party copies the fonts. The end user is not permitted to use the fonts for any purpose other than was those defined in §4 of this contract agreement. The end user declares and recognizes entire responsibility for any abuse of the permitted uses of the fonts which the end user has received.
§4.7 Transfer of licence by end user. The end user is prohibited from transferring, under any form, the present licence. The use of sub-licences is strictly prohibited.
§5 Liability and termination of contract agreement.
Negligence by the end user to the usage terms outlined in §4 of the present contract agreement makes the end user liable for compensation sought by Porchez Typofonderie. In the caseevent where the end user does not comply with the clauses of §4 of the present contract agreement, Porchez Typofonderie, under the action of Jean François Porchez, reserves the right to immediately terminate this licence agreement without any financial compensations whatsoever.
In this caseevent, the end user will have to turn over the fonts, its components and digital data to Porchez Typofonderie, Jean François Porchez, and destroy all the copies that the end user holds within seven (7) days of termination, prohibiting any further use.
The end user agrees to inform the end users employees or all people who have access to the typefaces and fonts described above of the terms and conditions described in this licence agreement and to ensure that they shall strictly abide by these terms and conditions described in this licence agreement.
§6 Payment and delivery of pack(s) and/or font(s). The price of this licence is the total sum indicated on the invoice in Euros or US dollars. This amount includes the applicable taxes. After the signing of this licence agreement or acceptation through the website, and payment, the end user will download or receive the fonts packages.
§7 Misuse of pack(s) and/or font(s). Jean François Porchez, Porchez Typofonderie cannot be held responsible for damage caused or supported by the end user and/or third party resulting from a misuse of the typefaces and/or the fonts described above.
§8 Applicable law and jurisdiction. This contract agreement is subject to and will be interpreted in accordance with the law of France. Any dispute which may arise relating to the existence, making, validity, interpretation, and/or the execution of this contract agreement will, in the absence of amicable settlement, take place before the Court of Nanterre (92).
