3. Other Restrictions. You may not distribute, sell, sublicense, rent, lease or otherwise transfer the Software except, however, you may transfer your rights under this Software License Agreement on a permanent basis, provided you transfer all copies of the Software, including all updates and prior versions, if any, and all accompanying written material, and the recipient agrees to the terms of this Agreement. You agree not to modify, reverse engineer, decompile or disassemble the Software.

4. Termination. This License and your right to use the Software automatically terminate without notice if you fail to comply with any provision of this Agreement. Upon termination, and as requested by BOUTROS, you will either return to BOUTROS or destroy the Software and accompanying written materials.

AND CD-ROMS, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY AND FITNESS

BOUTROS shall indemnify and hold Licensee harmless for any losses, claims, damages, awards, penalties, or injuries incurred, including reasonable attorney's fees, which arise from any claim by any third party of an alleged infringement of copyright or any other property right arising out of the use of the computer software by the Licensee in

accordance with the terms of this Agreement. This indemnity shall survive the termination of this agreement. NO LIMITATION OF LIABILITY SET FORTH ELSEWHERE IN THIS AGREEMENT IS APPLICABLE TO THIS INDEMNIFICATION.

6. Customer Remedies. BOUTROS's entire liability to you in connection with the Software and your exclusive remedy for breach of warranty shall be: repair or replacement of the Software or the CD-ROMS which are returned to BOUTROS with a proof of purchase.
