Moretype License Agreement
License Agreement (EULA) is a legally binding Agreement and by downloading and/or installing Moretype Font Software you agree to the following terms and conditions
1.Definitions
1.1 As used herein "Moretype" shall mean "Moretype", its parent and affiliated companies, its authorised distributors and any third party which has licensed to "Moretype" any or all of the
elements of the Font Software supplied to you in accordance with the Agreement.
1.2 "Font Software" as used herein shall mean software which, when used on an appropriate
device or devices, generates typefaces and other typographic designs and ornaments.
Font Software includes updates, upgrades, permitted modifications and copies, related files and documentation.
1.4 "Workstation" as used herein shall mean any component by which an individual is able to make use of the Font Software
1.5 Use of the Font Software will occur when an individual using a work station is able to give
instructions that are followed by the Font Software (whether by keyboard or otherwise)
regardless of the location in which the Font Software is domiciled.
2. Usage
2.1 The Font Software is the exclusive property of, and is owned by, Moretype. This License, which is non-exclusive, non-assignable, and non-transferable grants certain rights to use the Font Software. With the exception of your rights to use the Font Software granted by this License, all other rights, title and interest in and to the Font Software, its organisation, structure and code and related files including all property rights therein such as trademark rights and copyright design are owned by and are the valuable property of "Moretype".
2.2 You may install the Font Software on a single file server with up to five workstations. The work station may be connected to any number of output devices such as laser or ink jet printers.
2.3 If you wish to install the Font Software on additional workstations further Licenses will be
required.
2.4 "Moretype" Font Software may not be copied or duplicated in any form except for a single copy for back up purposes, this is granted exclusively to protect the Font Software. Upon termination of the Agreement, you must destroy the original and back up copy of the Font Software.
2.5 This License is non-transferable unless express permission is given by "Moretype".
In accordance with the conditions of the License, you may not rent, lease, sub License, lend or distribute the Font Software.
2.6 You may not adapt, translate, modify, reverse engineer, disassemble, decompile, alter,
re-digitize, convert, or otherwise attempt to discover the source code of the Font Software.
2.7 Embedding of the Font Software into internet pages or documents is only permitted in secure read-only mode. It is the responsibility of the user to ensure that recipients of such documents or internet pages cannot extract the Font Software for the creation of new documents or editing purposes.
2.8 If Software is to be embedded that is not in a secure read-only mode, you must notify
"Moretype" in order to purchase a further License for which an additional fee may be charged.
2.9 The Font Software may be used for the production of "Branding" in any part of a campaign, graphic or otherwise, which involves the design and/or repetition of a logo, insignia, emblem, trademark, nameplate, logotype, typeface, symbol, standardized graphic arrangement or layout intended to signify or identify an agency or entity. If Estimated Annual Gross Revenue for a product using the fonts as branding exceeds £6 million a commercial License may be required.
2.10 You may provide a digitized copy of the Font Software used for a particular document to a commercial printers or service bureau for use in printing such documents.
2.11 Use of the Font software not permitted by the Agreement will constitute a theft of this
property.
3. Termination
3.1 "Moretype" has the right to terminate this License should you, or any of your authorised users, fail to comply with its terms.
3.2 The termination of the Agreement will not prohibit "Moretype" from seeking compensation against you for damages for any breach of the Agreement. Upon termination of the Agreement you must destroy the original and back up copies of the Font Software and any related
documentation and cease all use of trademarks.
4. Warranty
For a period of 30 days after delivery of the software, "Moretype" guarantees that the Font
Software will perform in accordance with its documentation. To make a claim against the
Warranty, you must return the Font Software, with your receipt within the specified 30 days, to the original point of sale. Any refunds shall be limited exclusively, entirely, and cumulatively to the License fee paid to Moretype to obtain delivery of the Font Software.. The Warranty shall be rendered invalid if Font Software has been , in any way, modified, altered or converted by the user.
5. Disclaimer
"MORETYPE" MAKES NO GUARANTEES, EXPRESS OR IMPLIED AS TO MARKETABILITY,
SUITABILITY FOR A PARTICULAR PURPOSE, OR OTHERWISE. WITHOUT LIMITING THE
FORMER, "MORETYPE" SHALL IN NO EVENT BE LIABLE TO THE LICENSED USER OR ANY OTHER THIRD PARTY FOR DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES. THIS INCLUDES DAMAGES FROM LOSS OF BUSINESS PROFITS OR INFORMATION ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCT EVEN IF NOTIFIED IN ADVANCE. "MORETYPE" SHALL, UNDER NO CIRCUMSTANCES, ACCEPT LIABILITY EXCEEDING THE COST OF REPLACING THE FONT SOFTWARE.
